Resignation of a director happens when a director voluntarily decides to step down from his/her position in the company. On the other hand, removal of a director is the process of removing a director from his/her position by the company or shareholders, as per the Companies Act, 2013.
The main difference between the two is that in resignation, the director voluntarily leaves the position whereas in removal, the director is forcibly removed from the position. Additionally, resignation of a director does not require any specific reason, whereas removal of a director can only be done under certain conditions mentioned in the Companies Act, 2013.
