What Forms to be filed for Resignation of Director from a Company

When a director resigns from a company, the following forms are required to be filed with the Registrar of Companies (ROC):

 

1. Form DIR-11: The resigning director must file Form DIR-11 with the ROC within 30 days of resignation.

 

2. Form DIR-12: The company must file Form DIR-12 within 30 days of receipt of Form DIR-11 and update its records to reflect the resignation.

 

3. Form MGT-14: If the resignation of the director results in a change in the company’s Board of Directors, then the company must file Form MGT-14 with the ROC within 30 days of the Board meeting in which the resignation was accepted.

 

It is important to file these forms within the prescribed time limit to avoid penalties and legal complications.
